Terms of Service

1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “Client”, “Member”) and AI Executive LTD, a company registered in England and Wales (“AI Executive”, “we”, “us”, “our”). By purchasing any plan, creating an account, accessing our platform at joinaiexecutive.com/app, or using our services through joinaiexecutive.com, you agree to be bound by these Terms in full.

If you do not agree with any part of these Terms, you must not purchase or use our services.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of our services after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to purchase or access our services. By agreeing to these Terms, you confirm that you are 18 or older and have the legal capacity to enter into a binding contract.

3. Services Overview

AI Executive provides AI education, strategic frameworks, and advisory services for executives, managers, business owners, and M&A advisors. Our services are delivered through the following plans:

3.1 Standard Plan — AI Executive Core

The Standard Plan is an annual subscription that includes:

• The 4-week AI Executive Program (self-paced course content, updated regularly)
• Access to the Artificial Assembly Line™ system and strategic frameworks
• Monthly group Q&A and coaching calls
• Access to member resources, event listings, and the private executive community for networking and discussion where included in your tier

The Standard Plan is priced at the annual rate shown at checkout, in your order confirmation, or in any written agreement we provide to you, excluding VAT where applicable. Your membership price at the time of purchase is locked in for renewals, provided your subscription remains active and uninterrupted.

3.2 The Board Room — Private Advisory Group

The Board Room is a quarterly subscription that includes everything in the Standard Plan, plus:

• Quarterly in-person Board Room experiences, subject to scheduling, venue capacity, eligibility, and event availability
• Two exclusive weekly group support calls where scheduled and available
• 1x 45-minute one-to-one call per month where included in your active tier
• Dedicated one-to-one coaching and consulting asynchronously via Telegram or other agreed communication channels
• Hybrid coaching & consulting for personal longevity
• Access to a growing exclusive network of likeminded executives

The Board Room is priced at the quarterly rate shown at checkout, in your order confirmation, or in any written agreement we provide to you, excluding VAT where applicable, and requires a minimum commitment of 3 months. Your membership price at the time of purchase is locked in for renewals, provided your subscription remains active and uninterrupted. Membership is subject to an application and discovery call.

Both the Client and AI Executive retain the right to cancel the engagement within the first 14 days if either party feels the arrangement is not a good fit. In such cases, a full refund will be issued subject to the Board Room refund terms in our Refund Policy.

Communication may be conducted through the AI Executive platform, email, Telegram, scheduled calls, in-person experiences, or other agreed communication channels. Asynchronous advisory support is designed for ideas, road-blocks, draft strategies, and implementation questions. It is not an emergency service, and response times may vary depending on business hours, complexity, availability, and the communication channel used.

Unless expressly stated in writing, travel, accommodation, meals, visas, insurance, and other personal costs connected with in-person Board Room experiences are your responsibility. We may change venues, dates, formats, or capacity where reasonably necessary, and we will use reasonable efforts to communicate material changes in advance.

3.3 Enterprise — Team Licensing

The Enterprise Plan provides multi-seat access to the AI Executive Core Program for eligible teams. Enterprise pricing is confirmed through an invoice, order confirmation, or written Enterprise Licensing Agreement. It includes everything in the Standard Plan, plus:

• Centralised team billing
• Volume or custom commercial terms where agreed in writing
• Dedicated account support line
• Invoicing & PO support
• Organisation Badge Platform Wide

Enterprise pricing, seat counts, billing cadence, and renewal terms are confirmed during onboarding and formalised through an invoice, order confirmation, or separate Enterprise Licensing Agreement where applicable.

3.4 Nature of Advisory Services

AI Executive acts as a strategic partner — not as your AI lawyer, data privacy officer, legal adviser, or regulated professional. Our role includes helping you build out your AI vision, optimise strategic use of AI, refine workflows, and develop your personal brand within the AI space.

Your organisation remains solely responsible for its final legal decisions, data handling policies, and regulatory compliance. We recommend that all high-stakes AI deployments be reviewed by your own legal counsel for jurisdictional compliance.

4. Payments, Billing & VAT

Payments are processed through our third-party payment provider, Creem. By purchasing a plan, you agree to Creem's applicable payment terms in addition to these Terms. All prices are stated in US Dollars and are exclusive of VAT unless otherwise indicated.

Where applicable, VAT will be charged in accordance with UK tax legislation. If you are a UK or EU business customer with a valid VAT number, reverse charge provisions may apply. It is your responsibility to account for any local taxes in your jurisdiction.

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.

If you begin a Creem checkout but do not complete your purchase, Creem may process the checkout details you provided, including your email address and selected plan, to identify the abandoned checkout and send one or more recovery reminder emails on our behalf where we have a lawful basis to do so. These reminders are intended to help you return to your checkout and may be treated as marketing or re-engagement communications under applicable email laws. We will only use this feature where permitted by consent, the UK PECR soft opt-in rules, or another lawful basis available under applicable law, and each recovery email should provide a clear way to opt out of further marketing or recovery emails.

5. Refund Policy

Our refund policy differs by plan. Full details are provided in our separate Refund Policy document. A summary is provided here for convenience:

Standard Plan — 30-Day Money-Back Guarantee

If you are not satisfied with the Standard Plan, you may request a full refund within 30 days of purchase, provided you have: (a) completed the core course content; (b) attended the monthly coaching call (or submitted questions and watched the recording); and (c) provided honest feedback. Refunds that meet these conditions will be processed with no questions asked.

The Board Room — 14-Day Cooling-Off Period

Both the Client and AI Executive retain the right to cancel the Board Room engagement within the first 14 days if either party feels the arrangement is not a good fit. A full refund will be issued subject to the detailed terms in our Refund Policy. After 14 days, or after attending any live one-to-one call, group support call, consultancy session, or in-person Board Room experience where applicable, the quarterly fee is non-refundable for the current period. You may cancel to prevent future renewals at any time.

Enterprise — Custom Terms

Enterprise refund terms are agreed as part of the Enterprise Licensing Agreement. In the absence of a separate agreement, the Standard Plan refund terms apply per seat.

6. Intellectual Property

All content, materials, frameworks (including the Artificial Assembly Line™ system), course content, recordings, templates, and resources provided through our services are the intellectual property of AI Executive LTD and are protected by copyright and trademark law.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the materials for your personal and internal business purposes only. You may not:

• Reproduce, redistribute, resell, or share course materials with third parties
• Record, download, or screen-capture coaching calls, community discussions, or consulting sessions without prior written consent
• Use our materials to create competing products or services
• Sub-license or transfer your access to any other individual or entity

Breach of these intellectual property terms may result in immediate termination of your membership without refund, and we reserve the right to pursue legal remedies.

7. Community Guidelines & Acceptable Use

As a member of the AI Executive community, you agree to:

• Treat all members, staff, and guests with professionalism and respect
• Refrain from sharing spam, unsolicited promotions, or self-promotion without permission
• Keep all community discussions, member identities, and shared business information confidential
• Not engage in harassment, discrimination, or abusive behaviour of any kind
• Not share or distribute any content from private calls, chats, or community spaces without consent
• Not attempt to bypass tier restrictions, impersonate another member, scrape the platform, overload the service, or create accounts using disposable, generic, or misleading email addresses where access requires a company email
• Not create or use usernames that are offensive, abusive, misleading, impersonating, infringing, unlawful, reserved by us, confusingly similar to AI Executive products or services, or otherwise unsuitable for a professional platform
• Not upload unlawful, malicious, infringing, misleading, or privacy-invasive content, including avatars, organisation logos, profile links, feedback, or messages

We reserve the right to remove any member who violates these guidelines, at our sole discretion, without refund. We may also refuse, revoke, rename, reassign, or reserve usernames at any time where reasonably necessary, including for offensive use, impersonation, trademark or rights concerns, product or service naming conflicts, security or abuse prevention, inactive or misleading accounts, legal compliance, platform integrity, or any other ordinary operational reason a platform may need to manage account identifiers.

8. User-Generated Content

Our platform allows you to submit, post, and share content including messages, feedback, profile information, and community contributions (“User Content”). You retain ownership of your User Content, but you grant AI Executive a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable licence to use, reproduce, modify, publish, store, and distribute your User Content for the purposes of operating, improving, and promoting our services.

You also authorise us to transmit, host, process, reproduce, and display User Content through service providers acting on our behalf where reasonably necessary to provide direct messaging, event chat, video and audio calls, screen sharing, recordings, moderation, and community features. This includes processing by Stream (Stream.io, Inc.) in accordance with our Privacy Policy and Stream's applicable service and data-processing terms.

You represent and warrant that your User Content does not infringe any third-party rights, is not unlawful or misleading, and complies with these Terms and our Community Guidelines. You are solely responsible for the content you post.

We reserve the right, at our sole discretion and without prior notice, to remove, edit, or refuse to post any User Content that violates these Terms, our Community Guidelines, or that we otherwise consider objectionable or harmful to the platform or its community. We may also delete User Content associated with accounts that are terminated or suspended.

9. Communication

General support and enquiries for all members can be directed to support@joinaiexecutive.com. We may also send service emails, in-platform announcements, booking confirmations, security notices, product updates, and other operational communications needed to run your account and membership.

Where permitted by law, we may send abandoned-checkout recovery emails to remind you about an incomplete purchase. You can opt out of marketing and recovery emails using the unsubscribe or opt-out mechanism provided in those emails, or by contacting support@joinaiexecutive.com. Opting out of marketing or recovery emails will not stop essential service, transactional, security, or account-related communications.

10. Limitation of Liability

To the maximum extent permitted by law:

• AI Executive LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total liability for any claim arising from these Terms shall not exceed the total fees you have paid to us in the 12 months preceding the claim
• We do not guarantee any specific business outcomes, revenue increases, cost savings, or competitive advantages as a result of using our services
• AI Executive provides education and strategic guidance — results depend on your implementation, market conditions, and numerous factors outside our control

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Termination & Suspension

We may terminate or suspend your access to our services immediately, without prior notice, if you breach any of these Terms. Upon termination, your right to use our services ceases immediately.

You may cancel your subscription through the available account, payment, or support channels. Cancellation takes effect at the end of your current billing cycle unless otherwise stated in your plan or a separate agreement.

If payment fails, renewals lapse, or an organisation revokes your seat, your account will be downgraded to the free tier. You will lose access to all paid features, content, and entitlements associated with your previous plan. We will retain your messages and account data while your account remains active so you may resubscribe and pick up where you left off. If your account is deleted, associated messages and User Content may be removed or anonymised in accordance with our Privacy Policy.

12. Third-Party Platforms

Our services are delivered in part through third-party platforms and infrastructure providers including Supabase, Vercel, Stream (Stream.io, Inc.), Creem, Cal.com, Google Meet, Wistia, Resend, and analytics or advertising tools where enabled. Stream provides infrastructure for direct messages, event chat, native video and audio calls, screen sharing, participant presence and moderation, recordings where enabled, and community feeds where enabled. Creem may support checkout, subscription, tax, invoice, refund, and abandoned-checkout recovery functionality. Your use of these platforms may be subject to their respective terms of service and privacy policies. AI Executive is not responsible for interruptions caused by third-party platforms, but this does not affect any responsibility we cannot exclude under applicable law.

When you use communications or community features, content and related technical data may be transmitted to and processed by Stream and its subprocessors in the United States or other locations. Details of the categories of data, purposes, retention, safeguards, and your rights are set out in our Privacy Policy. Stream's own Privacy Statement and Data Processing Addendum provide further information.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the European Union, you may also be entitled to use the EU Online Dispute Resolution platform.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Executive LTD regarding the use of our services and supersede any prior agreements or understandings.
